Vancouver, B.C. - November 13th, 2015 - Westhaven Ventures Inc. (TSX-V:WHN) is pleased to announce that it has closed the final tranche of its non-brokered private placement previously disclosed on October 14th, 2015. The first tranche raised gross proceeds of $178,920 through the issuance of 2,982,000 flow-through share units of the Company. The second and final tranche increased the total gross proceeds raised to $217,020 through the issuance of an additional 635,000 flow-through share units.
Units were offered at a price of $0.06 per unit. Each FT Unit consisted of one flow-through common share and one non-transferable, non flow-through warrant (the “NFT Warrant”). Each NFT Warrant entitles the holder to purchase one non flow-through common share at a price of $0.08 for a period of 36 months from the closing date of the private placement. Directors and Officers purchased 1,173,333 of the total units sold.
The Company paid finder’s fees of $2,160 and 36,000 broker warrants in connection with this final tranche of the private placement. The warrants have the same terms as the warrants issued as part of the flow-through share units. The final tranche of the placement will become free trading on March 13th, 2016.
The net proceeds from the sale of Units will be used to fund exploration at the Shovelnose gold project and working capital.
